Terms of Service

Effective September 14, 2026

These Terms of Service (“Terms”) govern your use of the Semel website, web application, and related services (together, the “Service”) provided by Semel (“Semel,” “we,” “us”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Your account

You may need an account to use the Service, including by signing in through Google or GitHub. You are responsible for the information you provide, for keeping your credentials secure, and for activity that happens under your account. Let us know promptly if you suspect any unauthorized use. You must be at least 18 years old to use the Service.

2. The Service

Semel is a platform for planning, building, and reviewing software with AI agents. We grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business or personal purposes, subject to these Terms. We may change, suspend, or discontinue any part of the Service at any time.

3. Acceptable use

You agree not to:

  • Use the Service in violation of any law or the rights of others;
  • Access the Service by any means other than the interfaces we provide, or attempt to breach or circumvent security or access controls;
  • Interfere with or disrupt the Service, or overload our systems;
  • Reverse engineer or copy the Service except as permitted by law; or
  • Upload content that is unlawful, infringing, or harmful.

4. Your content and AI output

You retain ownership of the content you submit to the Service (“Your Content”). You grant us a worldwide, non-exclusive license to host, process, and display Your Content solely to operate and improve the Service. As between you and us, you own the output the Service generates from Your Content, and you are responsible for your use of it.

AI-generated output may be inaccurate or incomplete. You are responsible for reviewing and verifying any output before relying on it, and you should not rely on the Service as your sole source for important decisions.

5. Third-party services

The Service works with third-party services you choose to connect, such as code hosts and identity providers. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them.

6. Fees

Some features of the Service may require payment. If you purchase a paid plan, we will describe the price and billing terms at the point of purchase, and you authorize us to charge you accordingly. We may change our fees on reasonable notice.

7. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any output will be accurate.

8. Limitation of liability

To the fullest extent permitted by law, Semel will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amounts you paid us in the twelve months before the claim or one hundred U.S. dollars ($100).

9. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms or if we reasonably believe it is necessary to protect the Service or other users. Provisions that by their nature should survive termination — such as ownership, disclaimers, and limitation of liability — will survive.

10. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, notify you. Your continued use of the Service after a change means you accept the updated Terms.

11. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The exclusive venue for any dispute that is not subject to arbitration or small-claims resolution will be the state or federal courts located in Delaware.
